Terms of Service

Please read these Terms of Service carefully before using MadAI. By accessing or using the platform, you agree to be bound by these terms. If you do not agree, do not use the service.

1. Parties

These Terms of Service constitute a legal agreement between MadHawks ("Company," "we," "us") and the entity or individual ("Client," "you") accessing or subscribing to MadAI, the AI-powered SaaS platform available at madai.madhawks.com.

2. Description of Service

MadAI is a software-as-a-service (SaaS) platform that enables businesses to deploy AI-powered conversational agents for sales, customer support, and operations. The platform includes:

  • An embeddable chat widget for websites
  • AI agents trained on a client-provided knowledge base
  • A unified social inbox for managing Instagram, Facebook, WhatsApp, and YouTube interactions
  • Analytics dashboards covering sales intelligence, support metrics, and traffic attribution
  • Lead capture, qualification, and CRM-level reporting

3. Client Responsibilities

As a Client using MadAI, you agree that:

  • You are solely responsible for the accuracy, legality, and completeness of all content uploaded to the knowledge base (KB). MadAI's AI responses are only as accurate as the knowledge base provided.
  • You will not use MadAI to collect, store, or process data in violation of any applicable law, including data protection laws.
  • You will obtain all necessary consents from end users before deploying the MadAI widget on your platforms.
  • You will not attempt to reverse-engineer, decompile, or extract source code from MadAI.
  • You are responsible for maintaining the confidentiality of your API keys and platform credentials.

4. AI Response Accuracy — Disclaimer

MadAI uses large language models (LLMs) provided by Anthropic to generate responses. While we strive to ensure high response quality through knowledge base injection and prompt engineering:

  • MadHawks makes no warranty that AI-generated responses will be accurate, complete, or suitable for any particular purpose.
  • AI responses must not be relied upon as professional legal, financial, medical, or technical advice.
  • The Client is solely responsible for reviewing AI-suggested replies before sending them via the Social Inbox or any other channel where human approval is required.
  • MadHawks shall not be liable for any loss, damage, or claim arising from the use of or reliance on AI-generated content.

5. Knowledge Base Accuracy

The Client acknowledges that MadAI's AI agents are trained exclusively on content provided by the Client through the knowledge base (KB) upload and web scraping features. MadHawks:

  • Does not independently verify the accuracy of KB content
  • Is not responsible for AI responses that reflect inaccurate KB content uploaded by the Client
  • Recommends regular KB audits using the KB Health dashboard to identify and correct gaps

The Client is fully responsible for the accuracy of all knowledge base content.

6. Subscription, Billing & Plans

Access to MadAI is provided on a subscription basis. The applicable fees, plan features, and billing cycle are defined in the order or subscription agreement between MadHawks and the Client. Fees are non-refundable except as expressly stated in the applicable plan terms.

MadHawks reserves the right to suspend access to accounts that exceed their token usage limits or fail to make timely payments.

7. Intellectual Property

MadAI, including all software, interfaces, dashboards, and AI models configured by MadHawks, remains the intellectual property of MadHawks. The Client is granted a limited, non-exclusive, non-transferable licence to use the platform during the subscription term.

Content uploaded by the Client (knowledge base documents, brand assets) remains the property of the Client.

8. Limitation of Liability

To the maximum extent permitted by applicable law, MadHawks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or loss of business opportunity, arising out of or in connection with the use of MadAI.

MadHawks' total cumulative liability to the Client for any claim under these Terms shall not exceed the amount paid by the Client to MadHawks in the three months preceding the claim.

9. Termination

Either party may terminate this agreement with 30 days written notice. MadHawks may terminate immediately if the Client breaches these Terms. Upon termination, the Client's data will be retained for 30 days and then permanently deleted.

10. Governing Law & Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of India. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.

The parties agree to attempt good-faith resolution of any dispute before initiating legal proceedings.

11. Amendments

MadHawks reserves the right to update these Terms at any time. Clients will be notified of material changes via email. Continued use of MadAI after the effective date of any amendment constitutes acceptance of the updated Terms.
